1. General

Subject to the terms & conditions appearing on seller’s invoice to buyer, the conditions hereunder will govern the sale of Matsuda merchandise. In the event of any conflict between the terms & conditions of the sections below and the dealership agreement, the dealership agreement shall control. 

2. Acceptance and Pricing

All orders are subject to seller’s acceptance and all sales are final. Prices are subject to change and all prices are net & no discount is implied for early payment or any other variations of terms. 

3. Warranty

The merchandise is guaranteed against defects in workmanship or materials for a period of two (2) years, from the time the merchandise is sold to the end user. Matsuda, at its sole discretion, will replace or repair any item deemed to be defective. Claims for defects cannot be used as an offset on monies owed to seller. Defective merchandise must be returned to Matsuda for evaluation prior to issuance of a credit note. The warranty policy does not cover lenses. 

4. Payment and Credit Terms

Unless otherwise specified in writing on the invoice, all payments shall be received by seller on the basis of net thirty (30) days from the date of the seller’s invoice. Buyers credit is issued at the sole judgement of the Seller. For any reason, the seller shall have the right, at its option, without notice and without liability, to require payment in advance before shipping.

Buyer shall have no right to offset, nor have any right to withhold payment or amounts due for any order based on any alleged claims connected with any and all transactions, or pertaining to warranty, returns, exchanges, or for any other reason.

5. Transfer of Title

Shipment of Matsuda products will be F.O.B. shipping point, at which time risk of loss & title shall pass to buyer & all freight insurance, shipping expenses & duties shall be paid by the buyer.

6. Delivery Dates, Partial Shipments

Seller shall use reasonable effort to comply with any specified delivery date, however delivery lead times are estimates and are quoted only for informational purposes and do not imply a contractual obligation or duty on the part of the seller.
